Terms and Conditions
Everhelper provides services that allow you to back up, synchronize, and remotely access your bookmarks and dials ("Synchronization"). We provide these services through a combination of software that you install and features that you access through our website. We ask that you read these Terms and Conditions, because, by using this Service, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, please do not use the Service. We may change these Terms at any time and our changes are effective when posted on this page. If we make material changes to the Terms, we will post a message on our blog detailing those changes. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgment. By continuing to use the Service, you agree to be legally bound by the new Terms.
Using of Service
Only personal, non-commercial use of the Service is allowed. That means you can, in addition to use at home, install our Add-on on the computer you have in your office, or resort to its help when researching for your job. You can’t, however, resell or repurpose the Service or software and data associated with it. If you aren’t sure if your use of the Service fits the "personal, non-commercial use" terms, ask us about your particular case by sending an email to firstname.lastname@example.org.
We are glad to offer the Service to you but, please, note that we reserve the right to discontinue the Service or your access to it without prior notice. In that case we disclaim any liability for possible loss resulting from discontinuation of the Service. The current Agreement survives the termination of the Service.
The Service allows users to synchronize their bookmars and dials as well as to find other sites. Users are fully responsible for their choice of bookmarks and visited sites, their use of the Service and their use of the bookmarks and aforementioned sites.
Registration in the Service is optional. However, certain features of the Service including but not limited to the Syncing function are available solely to registered users owning Web Accounts. It is through their accounts that the users access the full functionality of the Service that we establish and update in our sole discretion. If you register a corporate account on behalf of some company or organization, you (a) certify that you have the power to represent this organization or company and have the power to bind it to this Agreement, and (b) bear the responsibility for your and the aforementioned company’s use of the Service.
Use of other people’s accounts without their permission is strictly forbidden. You must state full and accurate information about yourself when creating an account. Always keep your access data secure as you are the only one responsible for all activity taking place in your account. If you believe someone unauthorized has accessed or used your account, notify our support service representatives immediately.
You can manage your account and your use of the Service by changing your settings on My Account page. Please, note that some settings defining the functioning of our Add-on are available solely from the Settings page within the Add-on itself.
By providing your email address upon registration, you agree to receive the Service-related notices that we send to our users, including all possible notices required by law, by email in lieu of regular mail. You also agree to receive other messages from us – including but not limited to Service news, functionality change notifications and special offers. You can always opt out of our newsletter list by specifying your preferences in your account. However, please, note that if you decide to opt out, you may not be able to stay aware of our service updates, improvements and offers.
Privacy of Service
Security of Service
We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
Our trademarks include FVD Speed Dial, Eversync, GetThemAll, the Everhelper logo and design. They may not be used without our express written permission. We reserve title and our other rights in these trademarks and in our other intellectual property available on Our Website and in the Everhelper addons.
User Submitted Content
Our Service makes it possible for users to publish various types of information, such as feedback, questions, reviews, comments, etc. (hereinafter, “User Submitted Content”). We disclaim any and all responsibility for such information. You agree to be responsible for any User Submitted Content that you publish with the help of the Service, and understand that its confidentiality can’t be ensured by us. The Service is a passive conduit for distribution of User Submitted Content on the Internet.
You are not allowed to post any content that (a) creates a risk of emotional distress, physical or mental harm, or death to any person or animal; (b) creates a risk of property loss or damage; (c) is inappropriate for children; (d) asks for someone’s personally identifiable information; (e) may contribute to any unlawful activity; (f) is abusive, racially or ethnically intolerant, defamatory, infringing, harassing, libelous, threatening, profane, or otherwise objectionable; (g) invades someone’s personal privacy or publicity rights; (h) is illegal (including content that discloses some entity’s confidential information); (i) according to the user’s best knowledge, is not correct or up-to-date. You guarantee that the User Submitted Content you publish via the Service does not violate any rights of any third parties, such as Intellectual Property Rights, rights of publicity and rights of privacy. We reserve the right to delete any User Submitted Content that we believe violates the above provisions. However, we are not obliged to delete such content from the Service either. If you need to establish your rights for the User Submitted Content you post via our Service, you need to register it with U.S. Copyright Office, the Writer’s Guild of America, or another relevant right protection entity.
The Intellectual Property Rights that the User Submitted Content must not infringe are as follows: patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark rights, trade dress rights, service mark rights, goodwill, confidential information rights, etc., which exist now or will come into existence in future. All updates and appendixes to such Intellectual Property Rights must not be infringed as well. The list includes the rights registered under the laws of any country, state, territory or other jurisdiction.
We disclaim all liability for User Submitted Content published via the Service. Any loss resulting from the publication of User Submitted Content is the responsibility of the user who has published the corresponding content. By submitting content to the Service, you agree to have it displayed to public in case that is required. You also understand that by using the Service you might get exposed to certain User Submitted Content, which might be considered offensive, inaccurate, objectionable or inappropriate for children. You agree that the provider of the Service shall not be held responsible for any damage that arises out of exposure to such content.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, Everhelper, ITS SUBSIDIARIES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD.
Everhelper DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE Everhelper SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND Everhelper WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
The Service is provided "AS-IS" without warranty of any kind. Everhelper specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or the absence or presence of latent or other defects or errors. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.
Protection of Children
This Service is intended solely for Users who are thirteen (13) years of age or older, and any registration, use or access to the Service by anyone under 13 is strictly prohibited and in violation of this Agreement. If you are under 18 years of age you may use the Service only if you either are an emancipated minor or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement.
Terms and Policy of Billing
It is Everhelper's policy to provide our customers with accurate billing information as well as with convenient payment means. At the moment we are using our online billing and payment engine, Recurly, as well as mobile payment solutions supplied by Google Play and Apple iTunes App Store to make billing and payments possible in Everhelper.
How to pay for Everhelper?
Everhelper.Me makes in-app purchases possible with the help of Apple iTunes App Store and Google Checkout. The way such purchases are handled is subject to the standard user terms of Apple and Google companies. Everhelper.Me offers several membership plans to fit different needs. That includes free membership (Everhelper Standard) and paid (Everhelper Pro) options. The paid premium subscription ("Everhelper Pro" plan) can be purchased on monthly or yearly basis. The conditions of free and paid memberships are defined by Everhelper.Me at its own discretion.
How to subscribe or change my plan?
The members with Free Accounts can upgrade to “Everhelper Pro” at any time by payment via available online and mobile payment systems. The members with Pro Accounts purchased via Google Checkout can’t change the frequency of recurring membership payments but are free to cancel their subscription at any moment. The members with Pro Accounts purchased via Everhelper.Me can both change the frequency of recurring membership payments and are free to cancel their subscription at any moment by writing us unsubscribe e-mail.
Lost or stolen credit card / PayPal account.
If you think that your credit/debit card or PayPal account was lost and/or stolen, and you did not make a payment to Nimbus Web, please contact immediately your credit card issuer’s or PayPal and notify them of that so they could investigate charges made to your card or payments sent from your PayPal account.
Also, please notify us immediately if you suspect that your card was stolen/lost and used to pay for services and products of Nimbus Web. We may put a hold on any future recurring payments from your card, if any.
Please note, that Nimbus Web does NOT review lost or stolen credit card/PayPal account claims and does NOT process any refunds under such circumstances because we are not in position to conduct stolen/lost card payment or PayPal account investigations. You have to work with your card issuer or PayPal to get a refund.
Subscription Fees and Payment
We offer several types of Accounts with different payment plans, including a monthly subscription, an annual subscription. By registering for an Account, you agree to pay in advance the applicable subscription fee, if any, as posted in the Apps, plus any applicable taxes and other fees that may accrue in relation to your use of the Services. All fees are non-refundable and non-transferable unless otherwise provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars.
Advance Payment of Subscription Fees
The subscription fee (plus any applicable taxes and other charges) will be charged to you at the beginning of the paying portion of your subscription. Monthly subscriptions will be charged to you at the beginning of your subscription and each month thereafter at the then-current rate, and annual subscriptions will be charged to you at the beginning of your subscription and each year thereafter at the then-current rate. For monthly and annual subscriptions, you will be automatically charged each month or year, as applicable, on the calendar day corresponding to the date of commencement of your subscription. If your monthly subscription began on a day not contained in a given month, we may charge you on such other day in the applicable month as we deem appropriate. For example, if your subscription started on January 31st, your next payment date is likely to be February 28th and you will be billed on that date. Monthly and annual subscription fees are billed in advance for the subsequent month or year, as applicable, and auto-renew as set forth below.
By entering into these Terms and electing a monthly subscription or annual subscription, you acknowledge that your subscription has a recurring payment feature and you accept responsibility for all recurring payment obligations prior to cancellation of your subscription by you or Everhelper.ME. Your monthly, annual, or lifetime subscription continues until cancelled by you or we terminate access to or use of the Services in accordance with these Terms.
Cancellation of Subscription
You may cancel your subscription at any time. All payments are non-refundable and non-transferable. You will not receive a refund of any portion of the subscription fee paid for the then-current subscription period at the time of cancellation. If you cancel, you can continue to enjoy your subscription through the end of your monthly or annual billing period, as applicable. To cancel, you can email us at email@example.com. You can also cancel through your app store operator. For example, if you have an iPhone, go to Settings, tap App and iTunes Stores, tap your Apple ID, tap View Apple ID, sign in if requested, then tap Manage under Subscriptions Please follow the instructions, if any, that we provide to you in response to your cancellation request.
We may terminate access to or use of the Services, at our sole discretion, at any time and without prior notice. All fees are non-refundable. You acknowledge that Everhelper.Me is not required to provide a refund for any reason, and that you will not receive money or other compensation when your subscription is cancelled, whether such cancellation was voluntary or involuntary.
Subscription Price Changes
The price of subscriptions is subject to change at any time without notice. We reserve the right at any time to correct any inadvertent pricing errors, to change or revoke any limited-time offer, and to correct any errors, inaccuracies, or omissions in the Apps, including after you have been charged your subscription fee. If we change the price of your monthly or annual subscription, you have the option to cancel at any time before the new price is applied. Please see above for further information about cancellation.
